Karrie Int’l Posts August 2026 Share Capital Update: 200,000 New Shares Issued via Options, Public Float Intact

Karrie International Holdings Limited (Karrie Int’l) released its monthly return for the period ended 31 August 2026, detailing modest changes to its share capital structure.

Authorised Capital • Authorised share capital remained unchanged at 4.00 billion ordinary shares with a par value of HKD 0.10, equivalent to HKD 400.00 million.

Issued Shares • Total issued shares (excluding treasury) increased by 200,000 to 2.09 billion, driven solely by share-option exercises. • No treasury shares were outstanding or transacted during the month; therefore, total issued shares stood at 2.09 billion at month-end.

Share-Option Activity • One tranche under the 24 August 2012 Share Option Scheme (exercise price: HKD 0.70) was exercised, generating HKD 0.14 million in proceeds. • Post-exercise, 73.38 million options remain outstanding under the 30 August 2023 scheme (exercise price: HKD 1.17). • The combined pool of shares that could still be issued under existing option schemes totals 199.62 million.

Convertible Bonds • The company continues to hold HKD 150.00 million in 3-year, 2 % unlisted convertible bonds issued on 17 December 2025. • Conversion is priced at HKD 2.30 per share, representing a potential 65.22 million new shares; no conversions occurred during August.

Share Repurchases • A prior repurchase of 570,000 shares (dated 05 September 2025) remains pending cancellation; no new repurchase activity was recorded during the month.

Public Float • Karrie Int’l confirmed compliance with the minimum 25 % public-float requirement as of 31 August 2026.

Net Impact • Total issued share count rose by just 0.01 %, reflecting the limited scale of option exercises during the month. • Authorised capital headroom and existing equity-linked instruments provide the company flexibility for future fundraising, while current activity shows disciplined use of share issuance mechanisms.
