RIGOL Technologies Co., Ltd. confirmed the final terms of its Hong Kong initial public offering, locking the offer price at HK$45.98 per H share and issuing 24.80 million H shares.
• Fund-raising scale Gross proceeds reach HK$1.14 billion, while estimated listing expenses of HK$99.60 million reduce net proceeds to HK$1.04 billion.
• Offer structure and demand – Hong Kong Public Offering: 2.48 million H shares (10% of the deal) drew 92,738 valid applications, translating into 356.86× oversubscription. – International Offering: 22.32 million H shares (90% of the deal) recorded 9.17× subscription.
• Market debut Trading of the H shares (stock code 00537) is scheduled to commence on 9 July 2026 in board lots of 100 shares. The IPO leaves 11.34% of total share capital publicly floated, satisfying HKEX requirements.
• Cornerstone tranche Eight cornerstone investors subscribed for 10.45 million H shares, equivalent to 42.11% of the H shares outstanding post-listing and 4.78% of total issued share capital. All cornerstone shares are subject to a six-month lock-up expiring on 8 January 2027.
• Shareholder concentration The top five placees received 56.50% of the International Offering; the top 25 absorbed 92.76%. Overall, the largest public shareholder will hold 2.34% of the enlarged share base on listing, while the three largest public shareholders combined will stay below the 50% threshold.
• Retail allocation highlights Retail investors receiving 100 H shares include: – 8.00% of applicants for 100-share orders – 0.33% of applicants for 10,000-share orders For Pool B (applications ≥ 200,000 shares), successful applicants obtained allocations ranging from 0.35% to 0.12% of shares applied.
• Lock-up of controlling shareholders Major founding and management shareholders—led by Dr. Wang Yue and Suzhou RIGOL Investment Co., Ltd.—have agreed to staged lock-ups extending to 8 July 2027.
After completion, the company will have 218.68 million shares in issue. No single investor will emerge as a new substantial shareholder, and the public float meets HKEX free-float rules.
