CR Beverage Sets Virtual AGM for 1 Jun 2026; Tables RMB0.25 per Share Dividends, Director Re-elections and 10% Buyback Mandate

China Resources Beverage (Holdings) Company Limited (CR Beverage) will convene its 2026 annual general meeting (AGM) online via the Vistra eVoting Portal on 1 June 2026 at 2:30 p.m. Key proposals and timetable highlights are:

1. Cash Distributions • Final dividend: RMB0.088 per share. • Special dividend: RMB0.165 per share. • Record date: 15 July 2026. • Payment date: 28 August 2026. Shareholders may elect to receive the dividends in either Hong Kong dollars (default) or renminbi. The HKD amount will be translated at the average PBoC RMB/HKD central parity rate for the five business days up to and including the AGM date.

2. Board Composition • Seven directors—Mr Gao Li, Mr Zhou Jianbo, Mr Zhang Jianmin, Mr Xiao Ning, Mr Wang Te-kang, Mr Li Yinquan and Dr Yao Yang—will stand for re-election. • All retiring directors have confirmed their willingness to continue and, where applicable, their independence under HKEX Listing Rules. • If re-elected, directors remain subject to three-year terms with retirement by rotation.

3. Auditor Re-appointment • Deloitte Touche Tohmatsu is proposed to continue as independent auditor for FY 2026. • Estimated audit fee: up to RMB3.70 million.

4. General Mandates • Share repurchase mandate: authority to buy back up to 10% of issued shares (about 239.82 million shares based on current share capital). • Issuance mandate: authority to issue, allot or deal with up to 20% of issued shares (about 479.64 million shares) and to extend this limit by the number of shares repurchased. • Directors disclose no immediate plans to exercise either mandate.

5. Proxy and Registration Details • Proxy forms must reach Tricor Investor Services or be submitted via the Vistra eVoting Portal by 2:30 p.m. on 30 May 2026. • Share transfer for AGM eligibility must be lodged by 4:30 p.m. on 26 May 2026. • Transfers for dividend entitlement must be lodged by 4:30 p.m. on 14 July 2026.

All AGM resolutions will be voted on by poll. The board recommends shareholders vote in favour of each proposal.
