SDHG Schedules 15 July 2026 SGM to Approve Disposal via Share Purchase Agreement

Shandong Hi-Speed Holdings Group Limited (SDHG) has issued a proxy form convening a special general meeting (SGM) for 15 July 2026 at 10:00 a.m. in Conference Room, 38/F, The Center, 99 Queen’s Road Central, Hong Kong.

The sole ordinary resolution seeks shareholder approval to: 1. Ratify the Share Purchase Agreement signed on 13 May 2026 among the Sellers, the Purchasers and the Target Company, covering the proposed disposal, the “Choice Faith Closing” and the “Optional Sale,” together with all related documentation. 2. Authorize any one company director to execute all ancillary documents and undertake actions necessary to complete the transaction.

Shareholders recorded on the register are entitled to attend or appoint one or more proxies to vote on their behalf. Proxy forms, along with any applicable powers of attorney, must be lodged with Computershare Hong Kong Investor Services Limited at 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wan Chai, Hong Kong, no later than 48 hours before the meeting. Joint holders’ voting rights will be exercised by the senior joint holder who casts a vote, as determined by the order of names on the register.

The company cautions that incomplete or late submissions of proxy documents will be deemed invalid. Personal data provided in connection with the proxy appointment will be used solely for meeting-related purposes in accordance with the Personal Data (Privacy) Ordinance.
