Xuanzhu Biopharmaceutical Reports Unusual H-Share Price Surge; Preliminary Acquisition Talks Underway

On 17 September 2026, Xuanzhu Biopharmaceutical Co., Ltd. issued a voluntary announcement noting a sharp increase in its H-share price during the current trading session. After conducting what it described as “all reasonable enquiries,” the Board stated it is unaware of any undisclosed information that could account for the price movement, and confirmed there is no inside information requiring disclosure under Part XIVA of Hong Kong’s Securities and Futures Ordinance.

Concurrent with the price spike, the company revealed that it is in early-stage discussions with an unnamed counterparty regarding a potential acquisition. Negotiations remain ongoing, no binding agreements have been signed, and key terms are yet to be finalised. Management cautioned that there is no certainty the transaction will proceed and pledged to comply with Chapters 14 and 14A of the Hong Kong Listing Rules should the deal advance.

Given the absence of confirmed developments and the preliminary nature of the talks, the Board advised shareholders and prospective investors to exercise caution when trading the company’s H shares.

Xuanzhu Biopharmaceutical’s Board is chaired by Ms. Xu Yanjun and includes two executive directors, three non-executive directors, one employee representative director, and three independent non-executive directors.
