ZHONGMIAO Holdings (Qingdao) Co., Ltd. (01471) will convene its annual general meeting (AGM) on 28 May 2026 at the company’s Qingdao headquarters. Shareholders will vote on eleven key resolutions covering 2025 performance, capital return, governance overhaul and financing flexibility.
Key proposals:
• 2025 Financials & Dividend – Adoption of the 2025 audited financial statements and annual report. – Final cash dividend of RMB0.16 per share (tax inclusive), amounting to about RMB22.60 million, with record date set at 8 June 2026 and expected payment on or about 26 June 2026. The register of members will be closed from 3 June to 8 June 2026 for dividend entitlement.
• Board & Auditor Changes – Election of a new seven-member Board (second session) for a three-year term: four executive directors (Lu Yao, Li Tian, Wang Heping, Sui Shichao) and three independent non-executive directors (Fang Qiaoling, Chung Wai Man, Wu Jiayao). – Re-appointment of KPMG as external auditor for FY2026; audit fee estimated at RMB1.40 million–RMB2.00 million.
• Governance Restructuring – Proposal to abolish the Supervisory Committee in line with the amended PRC Company Law and to transfer its oversight duties to the Board’s Audit Committee; corresponding amendments to the Articles of Association and procedural rules. – Updates to Rules of Procedures for General Meetings and Board Meetings to align with the new governance framework.
• Capital Management – General mandate authorising the Board to issue up to 20% of existing Domestic and H-share capital (maximum 28.24 million shares) and to sell or transfer treasury shares during the year.
• Other Items – Work reports of the Board and Supervisory Committee for 2025. – 2025 profit allocation plan, including the Proposed Final Dividend.
Share Registration Arrangements: • For AGM attendance and voting, H-share register will close from 22 May to 28 May 2026 (both days inclusive); shareholders must lodge transfer documents by 4:30 p.m. on 21 May 2026.
All resolutions will be decided by poll at the AGM. Shareholders may vote in person or by proxy; forms of proxy must be lodged by 2:00 p.m. on 27 May 2026.
