Xiao Noodles Maintains Share Capital, Accumulates 18.60 Million Repurchased H-Shares Pending Cancellation

Guangzhou Xiao Noodles Catering Management Co., Ltd. (Xiao Noodles) submitted a Next Day Disclosure Return dated 7 July 2026, detailing the latest movements in its Hong Kong-listed H shares.

The company’s issued share capital remained unchanged at 710.69 million H shares as of 7 July 2026. No new shares were issued, and no previously repurchased shares were cancelled during the period under review.

Since 3 February 2026, Xiao Noodles has repurchased 18.60 million H shares that are earmarked for cancellation but had not yet been cancelled by 7 July. These shares correspond to approximately 2.62 % of the company’s existing issued share base. Purchase prices across the period ranged between HK$3.06 and HK$5.96 per share.

On 7 July 2026, the company bought back an additional 58,500 H shares on the Hong Kong Stock Exchange at prices ranging from HK$3.38 to HK$3.51, for a total consideration of HK$0.20 million. These shares are also designated for cancellation.

Pursuant to the repurchase mandate approved on 25 June 2026, Xiao Noodles is authorised to buy back up to 71.07 million shares. Repurchases executed under this mandate total 1.29 million shares to date, representing 0.18 % of the issued share capital at the time of the mandate’s approval. A 30-day moratorium on new share issues or treasury-share disposals is in force until 6 August 2026.

The board confirmed that all repurchase activities complied with Hong Kong Listing Rules and the terms set out in the explanatory statement filed on 27 April 2026.
