CN CULTURE GP (00745) announced that on April 28, 2026, the company entered into four subscription agreements with four subscribers: Mr. Stephen Chow, Mr. Wang Peng, Bingo Group, and Data Hash Group Limited. The subscribers have conditionally agreed to subscribe, and the company has conditionally agreed to allot and issue a total of 46.8 million warrants at an issue price of HK$0.10 each. The company expects to receive estimated net proceeds of approximately HK$4.6 million from the warrant issuance, after deducting other relevant expenses and professional fees. The net price per warrant is estimated to be about HK$0.098. If all the subscription rights attached to the warrants are fully exercised, the company anticipates that the net proceeds will increase to approximately HK$60.7 million.
The company believes that issuing warrants to the subscribers is primarily aimed at creating strategic synergies with the group's existing business. This is especially true given the participation of Mr. Stephen Chow, an internationally renowned film star and current executive director of Bingo Group, who is also one of the warrant subscribers. The initiative will also explore new opportunities in AI-generated music, video, and gaming. The subscribers bring vertically integrated strengths in film and television entertainment, new media development (such as digital rights, streaming, and video-on-demand), and licensing. In contrast, the company contributes advertising and design services. This collaboration will enable the company's existing business to gain priority access to Bingo Group's new media distribution network, while Bingo Group's content library can be co-developed or licensed through the company's production capabilities. Crucially, the synergies in new media development will allow both parties to maximize revenue from digital platforms, including streaming, video-on-demand, and mobile content licensing.
Upon full conversion of the warrants, the subscribers will hold approximately 16.64% of the equity. This represents a significant but non-controlling stake, ensuring long-term alignment of interests. Overall, the subscription integrates entertainment, new media development, and film production into a synergistic ecosystem designed to enhance content value and shareholder returns.
