Shares of Golden Entertainment (GDEN) skyrocketed 32.36% in pre-market trading on Thursday following the announcement of a major acquisition deal. The casino operator has agreed to be acquired by Blake L. Sartini and affiliates, while simultaneously entering into a sale-leaseback transaction with VICI Properties Inc. (VICI) for seven of its casino real estate assets.

The deal, valued at $30.00 per share, represents a substantial 41% premium to Golden's closing price on November 5, 2025. Under the terms of the agreement, Golden Entertainment shareholders will receive a fixed exchange ratio of 0.902 shares of VICI common stock for each Golden share, along with a cash distribution of $2.75 per share from Blake Sartini at closing. This structure allows shareholders to benefit from both immediate cash value and potential future growth through VICI stock ownership.

VICI Properties, an S&P 500 experiential real estate investment trust, will acquire 100% of the land, real property, and improvements of seven Golden Entertainment casino properties in a transaction valued at $1.16 billion. This move significantly expands VICI's presence in the attractive Nevada market and is expected to be immediately accretive to its adjusted funds from operations per share. The deal also includes VICI assuming and retiring up to $426 million of Golden's outstanding debt, providing additional financial benefits to the transaction.

The acquisition is subject to customary closing conditions, including regulatory approvals and approval by a majority of Golden stockholders. The transaction is expected to close in mid-2026, at which point Golden Entertainment will cease to be publicly traded. The company has included a "go-shop" period through December 5, 2025, allowing it to consider alternative acquisition proposals.

This transformative deal has clearly excited investors, as evidenced by the substantial pre-market stock surge. It not only provides a significant premium for current shareholders but also aligns Golden Entertainment with a major player in the experiential real estate sector, potentially setting the stage for future growth and value creation in the highly competitive casino and hospitality industry.
