– Participation and Voting • Share capital entitled to vote: 791.11 million shares (656.11 million A-shares; 135.00 million H-shares). • Attendance: 559 shareholders and proxies, representing 259.37 million shares, or 32.79% of voting rights. • All 11 ordinary and 4 special resolutions met or exceeded the required approval thresholds; most ordinary items achieved c.99.7% support, while special mandates attracted support ranging between 96.36% and 97.00%.
– Key Ordinary Resolutions Passed 1. 2025 Board report, Independent Directors’ report and full-year accounts received c.99.7% approval. 2. 2025 profit distribution plan cleared with 99.72% support (details of distribution not disclosed in the notice). 3. Forecast and implementation plan for 2025 related-party transactions and the 2026 estimate passed with 96.58% support; interested directors—holding a combined 27.23% of shares—abstained. 4. Individual 2025 remuneration packages and 2026 remuneration schemes for directors and senior management approved, with support levels near or above 96%. 5. Re-appointment of the external auditor for FY2026 obtained 99.74% approval. 6. Adoption of China Accounting Standards for Business Enterprises (CAS) as the uniform reporting framework endorsed by 99.74% of votes.
– Special Resolutions Cleared 1. Increase in the 2026 guarantee quota approved with 96.36% support. 2. General mandate for the Board to issue, allot and deal with additional A and/or H shares up to 20% of each class passed with 96.98% support. 3. Simplified-procedure mandate to issue up to 20% of A-shares, capped at RMB300 million and 20% of prior-year net assets, received 97.00% backing. 4. Changes to registered capital and corresponding amendments to the Articles of Association gained 99.73% approval.
