JNCEC shareholders endorse Wang Jing as non-executive director; Zhang Yi steps down

Beijing Jingneng Clean Energy Co., Limited (JNCEC) disclosed that its first extraordinary general meeting of 2026, held on 28 April 2026 in Beijing, approved the appointment of Wang Jing as a non-executive director and member of the Board’s remuneration and nomination committee.

The single ordinary resolution passed with 6.38 billion votes in favour—representing 99.52 % of the 6.41 billion votes cast. Shareholders or proxies holding 6.41 billion shares, equivalent to 77.80 % of JNCEC’s 8.24 billion issued shares, were present. No shareholders were required to abstain, and there were no votes recorded as abstentions.

Wang Jing’s term commences immediately and runs until the end of the fifth session of the Board. The company stated that Wang will receive no remuneration and currently holds no shares in JNCEC, nor any positions or directorships in other listed entities.

Concurrently, Zhang Yi retired from her roles as non-executive director and committee member effective 28 April 2026. The Board noted Zhang’s confirmation of no outstanding disagreements or claims against the company.

Computershare Hong Kong Investor Services Limited acted as scrutineer for the poll count, ensuring compliance with Hong Kong Listing Rules.
