GT Gold Calls 16 Sep 2026 AGM; Seeks Fresh Share Mandates, Board Re-elections and Constitution Overhaul

GT Gold Holdings Limited has issued a circular and convened its annual general meeting (AGM) for 16 September 2026 at 11:00 a.m. in Hong Kong. Key items for shareholder approval include:

1. Capital Mandates • Issue Mandate – Directors request authority to allot and issue new shares (including any sale or transfer of treasury shares) up to 20 % of the Company’s 9.54 billion issued shares (excluding treasury shares), equivalent to about 1.91 billion shares. • Repurchase Mandate – Permission to buy back shares on the Stock Exchange or other recognised markets up to 10 % of issued share capital (roughly 954.08 million shares). • Extended Mandate – Authorises the addition of repurchased shares (up to 10 %) to the Issue Mandate, potentially enlarging the total issuance capacity to 30 % of issued shares.

2. Board Movements • Re-election of Executive Director Ms Ma Xiaona and Independent Non-executive Director Mr Lam Albert Man Sum, both retiring by rotation. • Proposed remuneration: HK$700,000 per annum for Ms Ma and HK$320,000 per annum for Mr Lam. • Both hold share options (20.95 million for Ms Ma; 2.99 million for Mr Lam) granted on 31 Aug 2023.

3. Auditor • Re-appointment of McMillan Woods (Hong Kong) CPA Limited as external auditor for FY27, with expected remuneration between HK$1.00 million and HK$1.20 million.

4. Constitution Update • Special resolution to adopt an amended and restated Memorandum and Articles of Association. Key changes align with updated GEM Listing Rules covering hybrid/electronic meetings, treasury shares, electronic dissemination of corporate communications, and preparedness for the future Uncertificated Securities Market (USM) regime.

5. Administrative Details • Shareholders recorded on 9 September 2026 are entitled to attend and vote. • Proxy forms must be lodged with Union Registrars not later than 48 hours before the meeting. • The Board recommends voting in favour of all proposals, citing alignment with shareholder interests and regulatory compliance.

As of 22 July 2026, GT Gold had 9.54 billion shares in issue and held no treasury shares.
