China Energy Storage: Privatisation Scheme Takes Effect, HKEX Delisting Set for 5 Aug 2026

China Energy Storage Technology Development Limited (abbreviated as “China Energy Storage”) and its offeror, Fame Castle Enterprises Limited, have confirmed that the company’s privatisation by way of a scheme of arrangement under Section 86 of the Cayman Islands Companies Act became effective on 4 August 2026 (Cayman Islands time).

Key milestones

1. Scheme Effective – 4 August 2026 • The Grand Court of the Cayman Islands sanctioned the scheme on 31 July 2026. • All conditions outlined in the Scheme Document dated 22 June 2026 have been fulfilled.

2. HKEX Delisting – 4:00 p.m., 5 August 2026 (Hong Kong time) • Trading in China Energy Storage shares on the Main Board of Hong Kong Exchanges and Clearing Limited will cease, and the listing will be withdrawn at that time.

3. Cash Consideration – by 13 August 2026 • Cheques for the cancellation price payable to Scheme Shareholders will be dispatched no later than seven business days after the effective date, i.e., on or before 13 August 2026. • Adverse weather contingency: if a black rainstorm or Typhoon Signal No. 8 (or above) is in force in Hong Kong at 12:00 noon on 13 August, dispatch will be postponed to the next business day without such warnings.

4. Share Option Arrangement (“Option Proposal”) • Automatically became unconditional upon the scheme’s effectiveness on 4 August 2026. • Remains open for acceptance until 4:00 p.m., 18 August 2026 (OP Closing Date). • Cheques for option cancellation payments will be dispatched no later than 27 August 2026. • Holders may still exercise outstanding share options until 4 September 2026, in line with the Share Option Scheme rules.

Corporate roles

• Offeror: Fame Castle Enterprises Limited (BVI-incorporated). • Target: China Energy Storage Technology Development Limited (Cayman Islands-incorporated, HKEX: 01143). • Financial Adviser to the Offeror: Independent financial adviser appointed (unnamed in announcement). • Independent Financial Adviser to the Company’s Independent Board Committee: As disclosed in the Scheme Document.

With the scheme now effective and delisting imminent, China Energy Storage’s transition to a privately held company under Fame Castle Enterprises is on track, with all cash considerations scheduled for settlement within the stipulated timelines.
