Sino Oil & Gas outlines resumption roadmap; financials delayed, core subsidiaries under receivership

Sino Oil & Gas Holdings Limited (In Liquidation) released a supplemental update on its resumption efforts, confirming that audited financial statements remain outstanding and trading on the Stock Exchange of Hong Kong continues to be suspended.

The joint and several liquidators reiterated that: • The Group’s historical financial statements are still unavailable. An audit will only commence once a commitment or formal agreement with a potential investor is reached as part of an overall restructuring plan. • Discussions with multiple parties regarding a restructuring of the Group are ongoing; no binding agreement has been signed to date.

Operational snapshot Based on information currently accessible to the liquidators, the Company’s key businesses include: 1) Exploration, development and production of coalbed methane. 2) Raw-coal washing and sales of raw and cleaned coal. 3) Exploitation and sales of crude oil and natural gas. 4) Provision of financial services in mainland China.

Subsidiary receivership status The Company’s equity interests in certain subsidiaries—identified as its principal operating entities—are under receivership. The liquidators are liaising with the appointed receiver to clarify the operational status and future control of these assets. Further disclosures will be made when material developments arise.

Corporate governance under liquidation The Company has been managed by joint and several liquidators since the winding-up order dated 10 October 2025. Former board members comprised two executive directors, two non-executive directors and three independent non-executive directors. The liquidators act solely as agents of the Company and bear no personal liability.

Shareholders and potential investors are urged to exercise caution when dealing in the Company’s securities until more definitive information on restructuring, audited financials and subsidiary operations becomes available.
