China Strategic Technology Group Limited (Stock Code: 1725) released a circular dated 27 January 2026, detailing two share subscription agreements and one placing agreement under specific mandate. The Company scheduled an Extraordinary General Meeting (EGM) for 11 February 2026 at 9:30 a.m. in Guangzhou, Guangdong, to seek shareholder approval for the proposals.
According to the announcement, the Company entered into two subscription agreements on 5 December 2025. Under these agreements, a total of 160,926,000 new shares at HK$0.560 per share will be issued to two individual subscribers, comprising 81,000,000 shares to one investor and 79,926,000 shares to another. These subscription shares represent approximately 18.82% of the enlarged share capital assuming no other capital changes occur prior to completion.
On the same date, the Company entered into a placing agreement with Pinestone Securities Limited for up to 90,000,000 new shares, also at HK$0.560 per share, on a best-effort basis. The placing shares would account for approximately 10.53% of the enlarged share capital, assuming both the subscriptions and the placing complete in full.
As set out in the circular, the net proceeds, if all placing shares are successfully issued, are estimated to be around HK$138.12 million. The funds raised will be deployed toward repayment of a shareholder’s loan and for general working capital, subject to shareholders’ approval at the EGM. The Company’s register of members will be closed from 6 February 2026 to 11 February 2026, during which period share transfers will not be registered.
Shareholders and their proxies who wish to attend and vote must lodge all necessary documents with the branch share registrar in Hong Kong no later than 4:30 p.m. on 5 February 2026. Completion of the proposed share issuances remains contingent upon shareholder approval and the fulfillment of conditions stipulated in the agreements.
