AGTech Schedules 3 June 2026 Special General Meeting to Approve Capital Increase Agreement

AGTech Holdings Limited has called a Special General Meeting (SGM) for 11:00 a.m. on 3 June 2026 at 9/F, Henley Building, 5 Queen’s Road Central, Hong Kong. Shareholders will vote on one ordinary resolution concerning:

• Confirmation, approval and ratification of a Capital Increase Agreement, together with all transactions contemplated under the agreement. • Authorising any one director (or two directors, or one director and the company secretary for documents under seal) to execute related documents and actions necessary for implementing the agreement.

Key administrative details:

• Record date: 27 May 2026 (4:30 p.m. deadline for share transfers to qualify for voting rights). • Proxy submission: Completed forms must reach Tricor Investor Services Limited by no later than 48 hours before the SGM. • Shareholders may appoint one or more proxies; joint holders may exercise voting rights as stipulated in the company’s bye-laws.

– Executive Directors: Sun Ho (Chairman & CEO), Hu Taoye – Non-executive Directors: Qin Yuehong, Ji Gang – Independent Non-executive Directors: Chow Siu Lui; Chan Ka Leong; Yuen Kit Ming Fanny
