China Youran Dairy Group Limited (Youran Dairy) has circulated a proxy form for an Extraordinary General Meeting (EGM) set for 22 May 2026 at 11:00 a.m. (or immediately after the annual general meeting on the same day) at No. 169, Hexi Road, Saihan District, Hohhot, Inner Mongolia, China.
The EGM will ask shareholders to consider two key resolutions:
1. Ordinary Resolution – Specific Mandate Subscription • Approval, confirmation and ratification of a Specific Mandate Subscription. • Grant of a specific mandate authorising the Board to allot and issue the related subscription shares in accordance with the Specific Mandate Subscription Agreement. • Authorisation for any director to execute all documents and take necessary actions to implement the subscription.
2. Special Resolution – Whitewash Waiver • Approval of a waiver exempting Boyuan (and parties acting in concert with it) from the obligation to make a mandatory general offer for all issued shares of the Company that it does not already own, which would otherwise be triggered by Boyuan’s participation in the Specific Mandate Subscription. • Authorisation for any director to execute all documents and take steps required to implement the waiver.
Shareholders entitled to attend and vote may appoint one or more proxies; a proxy need not be a shareholder. Completed proxy forms, together with any relevant power of attorney, must be lodged with Tricor Investor Services Limited at 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong no later than 48 hours before the meeting.
On a poll, each share entitles the holder to one vote. Completion of the proxy form does not preclude a shareholder from attending and voting in person, in which case the proxy appointment is automatically revoked.
