LUXSHARE ICT Adds 4.98 Million New A Shares in September; HK Public Float Remains Intact

Bulletin Express10-13 18:01

Luxshare Precision Industry Co., Ltd. (trading in Hong Kong as LUXSHARE ICT) published its resubmitted Monthly Return for the period ended 30 September 2026, detailing minor but targeted equity changes driven mainly by staff incentives and convertible-bond activity.

Total Share Capital • Authorised/registered share capital rose by 4.98 million A shares to 7.74 billion shares (RMB 7.74 billion par value). • Issued A shares (excluding treasury) increased by 4.98 million, lifting the total to 7.33 billion. Issued H shares were unchanged at 396.01 million. Aggregate issued share count across both classes reached 7.73 billion shares. • Treasury stock was steady at 17.67 million A shares, equal to roughly 0.24 % of A-share issued capital.

Equity Issuance Drivers 1. Share-Option Exercises – 4.96 million new A shares (99.5 % of September’s issuance) were created through the company’s 2021, 2022 and 2025 Share Option Incentive Plans. – Cash proceeds from these exercises totalled RMB 127.92 million (USD-equivalent not disclosed). – Outstanding but unexercised options under the three schemes now permit a further 11.25 million A shares to be issued.

2. Convertible Bonds – Partial conversion of on-exchange convertible bonds (code 128136) reduced the outstanding principal by RMB 1.30 million to RMB 2.98 billion. – The conversion generated 23,236 new A shares in September. – Post-conversion, up to 53.54 million additional A shares may still be issued upon full conversion of the remaining bonds at the fixed price of RMB 55.67 per share.

Public Float and Compliance • The Hong Kong-listed H share tranche comfortably met the minimum 5 % public-float requirement under Main Board Rule 13.32B; no changes occurred in H-share count or treasury position during the month. • The company confirmed that all share issuances and bond conversions were duly authorised and executed in accordance with applicable regulations and listing rules.

Net Effect September’s 4.98 million increase in A-share issuance represents a dilution of approximately 0.06 % of Luxshare’s total share base at the August month-end. With treasury levels unchanged and H-share stability preserved, the incremental expansion reflects ongoing employee incentive realisations and modest bond conversions rather than new external placements.
