Hesai Calls 28 Aug 2026 EGM to Vote on Revised Supply Agreement with Sharpa

Hesai Group (HESAI-W-NEW, HKEX: 02525; NASDAQ: HSAI) will convene an extraordinary general meeting (EGM) on 28 August 2026 at 13:30 (Beijing time) at No. 28, Ciyun Road, Yangcheng Lake Peninsula, Weiting Town, Suzhou Industrial Park, Jiangsu Province, PRC.

The single ordinary resolution seeks shareholder approval for the Revised Supply of Products Framework Agreement with Sharpa, including the associated revised annual cap and all related transactions. If passed by a simple majority of the independent shareholders present or represented by proxy, the resolution will also authorise any director to execute all documents and actions necessary to implement the agreement.

Meeting quorum is set at one or more members holding at least 10% of the voting rights attached to all issued shares. Shareholders on the register as of the share record date are entitled to vote in person or by proxy; proxy forms must be received by 26 August 2026 at 13:30 (Hong Kong time). Holders of American depositary shares (ADSs) must submit voting instructions to Deutsche Bank Trust Company Americas by 10:00 a.m. (New York time) on 18 August 2026.

Hesai operates under a weighted voting rights structure and is incorporated in the Cayman Islands with limited liability. The board currently comprises four executive directors—Dr. Yifan Li (Chairman and CEO), Dr. Kai Sun, Mr. Shaoqing Xiang and Ms. Cailian Yang—and three independent non-executive directors: Ms. Yi Zhang, Mr. Jia Ren and Dr. Hui Wang.
