CROSSTEC Group Issues 70 Million Shares Following Conversion of Convertible Bonds

CROSSTEC Group (03893) announced that the company has received a conversion notice from HIL regarding the conversion of a portion of the HIL convertible bonds, involving a principal amount of HK$7.7 million, at a conversion price of HK$0.11 per share. The conversion and issuance of a total of 70 million related conversion shares were completed on March 13, 2026.

Following the issuance of these conversion shares and as of the date of this announcement, the total number of issued shares of the company has increased to 467 million. The conversion shares represent approximately 17.65% of the company's issued share capital immediately prior to the allotment and issuance, and approximately 15.00% of the enlarged issued share capital after the allotment and issuance. MKI remains the largest shareholder of the company, holding 114.7 million shares, which constitutes approximately 24.58% of the company's enlarged issued share capital as of the date of this announcement.
