China's domestic chip leader Unigroup Guoxin Microelectronics Co.,Ltd. maintained its growth momentum in the first half of the year. For the first half of 2026, the company achieved operating revenue of 3.443 billion yuan, rising 13.00% year-on-year, and net profit attributable to parent company reached 798 million yuan, an increase of 15.29% year-on-year. The profit growth rate outpaced revenue, indicating a steady improvement in profitability.
Meanwhile, net cash flow from operating activities amounted to 827 million yuan, surging 73.14% year-on-year, significantly higher than the growth rate of net profit. This highlights the enhanced cash-generating capability of the core business.
From an earnings quality perspective, the company's recurring net profit attributable to parent company in the first half was 708 million yuan, up 8.35% year-on-year, while basic earnings per share stood at 0.9495 yuan, increasing 15.71% year-on-year. At the end of the period, the debt-to-asset ratio dropped to 25.64%, down 1.76 percentage points from the end of the previous year, and the weighted average return on equity rose to 5.65%.
Alongside steady revenue growth, the company's asset-liability structure continued to be optimized, creating space for future business expansion and capital market operations.
The RuiNeng Semiconductor Acquisition Enters Key Review Phase
Compared with the earnings performance, the ongoing acquisition of RuiNeng Semiconductor holds greater strategic significance. Unigroup Guoxin Microelectronics Co.,Ltd. plans to acquire 100% equity of RuiNeng Semiconductor Technology Co., Ltd. through a combination of share issuance and cash payment. The transaction has now entered the review and inquiry stage with the Shenzhen Stock Exchange (SZSE).
The company suspended trading on December 30, 2025, to plan the transaction. The board approved the transaction proposal on January 13, 2026, reviewed the draft restructuring report on May 21, and secured approval from a temporary shareholders' meeting on June 8. The SZSE accepted the filing on June 17. The exchange issued a review inquiry letter on June 30, and the company completed its response and revised the application documents on July 24.
Due to the 2025 profit distribution, the share issuance price for the asset acquisition was adjusted from 61.75 yuan per share to 61.45 yuan per share, corresponding to approximately 24.7355 million newly issued shares. However, the transaction still requires SZSE approval and registration with the China Securities Regulatory Commission, leaving its final completion subject to uncertainty. If the restructuring is successfully completed, the company's semiconductor business landscape is expected to be further expanded.
Share Buyback Cancellation and Dividend Distribution Reinforce Shareholder Returns
Beyond capital market maneuvers, the company is also continuously optimizing its equity structure. On July 22, Unigroup Guoxin Microelectronics Co.,Ltd. canceled 6.396 million repurchased shares, accounting for 0.75% of the total share capital before cancellation. After the cancellation, the company's total share capital decreased from 850 million shares to 843 million shares, helping to improve per-share metrics.
In terms of shareholder returns, the company completed its 2025 profit distribution on June 30, distributing 3.099995 yuan in cash per 10 shares (pre-tax) based on the 840 million shares excluding repurchased shares. Additionally, the "Guoxin Convertible Bond" completed its fifth-year interest payment on June 10, with a coupon rate of 1.80%, leaving a bond balance of approximately 1.492 billion yuan, set to mature in June 2027.
As of the end of June, the company had 194,400 shareholders, with the controlling shareholder, Tibet Unigroup Chunhua, holding 26.00% of the shares, maintaining a stable controlling position. Overall, with steady growth in the core business and a significant improvement in cash flow, the RuiNeng Semiconductor restructuring has entered a critical review phase and could become a key catalyst for the company's next stage of expanding its semiconductor business boundaries.
