Continental Aerospace Technologies: J.P. Morgan Securities Discloses 3.25 Million-Share Derivative Issues Amid Proposed Delisting

Continental Aerospace Technologies Holding Limited (Continental Aerospace Technologies) on 3 August 2026 released a Rule 22 disclosure showing that J.P. Morgan Securities PLC, classified as a Class (5) associate of the offeror in the company’s proposed delisting process, executed a series of derivative transactions tied to the firm’s shares on 31 July 2026.

Five separate “issue of a derivative” trades were completed, all maturing on 20 July 2027 and struck at a uniform reference price of USD 0.4456 per share. The transactions covered an aggregate 3.25 million shares, broken down as follows:

• 250,000 shares for USD 0.11 million • 500,000 shares for USD 0.22 million • 500,000 shares for USD 0.22 million • 500,000 shares for USD 0.22 million • 1.50 million shares for USD 0.67 million

Total consideration across the five trades amounted to USD 1.45 million. Following these dealings, J.P. Morgan Securities’ resultant position in Continental Aerospace Technologies rose to approximately 391.39 million shares.

The company reiterated that all trades were conducted on J.P. Morgan Securities’ own account. The disclosure forms part of ongoing reporting requirements under the Hong Kong Code on Takeovers and Mergers during Continental Aerospace Technologies’ proposed delisting process.
