Archosaur Games Grants 2.45 Million RSUs to Six Employees Under 2026 Plan

Archosaur Games Inc. announced that on 31 August 2026 the board awarded 2.45 million restricted share units (RSUs) to six employees under the company’s newly adopted 2026 RSU Scheme. The awards carry no purchase price and equate to 2.45 million ordinary shares of the company.

The RSUs will vest over three years in a 40%-30%-30% schedule, with each tranche subject to a 12-month evaluation period. No performance targets apply. A clawback clause allows the board to forfeit any unvested or unconverted RSUs if a grantee commits misconduct, breaches employment terms, or is involved in a material financial misstatement.

The closing price of Archosaur Games shares on the grant date was HK$1.845. Following this grant, 77.59 million shares remain available for future awards across the 2026 RSU Scheme and the company’s other equity-based incentive plans, including the Pre-IPO RSU Scheme and the Share Option Scheme. Archosaur Games plans to satisfy future awards in part through 12.02 million existing shares held by Smooth Ebony Limited and 207,000 unallocated shares held in trust from the terminated 2022 RSU Scheme.

According to the announcement, none of the six grantees is a director, chief executive, substantial shareholder, service provider, or related entity participant as defined by Hong Kong Listing Rules, and no individual award exceeds the 1% limit on issued share capital.
