INKEVERSE (03700) announced that on August 20, 2025, Beijing Milaiwu (indirectly controlled by the Company through certain variable interest entity structures) entered into a Series A preferred share purchase agreement with Skywork AI. Under the agreement, Skywork AI conditionally agreed to issue, and Beijing Milaiwu conditionally agreed to purchase from Skywork AI, 9.9506 million Series A preferred shares for a total consideration of RMB 100 million, representing approximately 0.67% of Skywork AI's expanded issued share capital after the issuance of the Series A preferred shares.
Skywork AI is one of the few artificial intelligence technology companies domestically and globally that has independently developed and achieved full-modal deployment in the AI model field, including text, voice, image, video, and music, with strong technical advantages and extensive research and development experience. Meanwhile, under its application-oriented strategy, Skywork AI has launched multiple AI-native products for global consumers, including AI search, short dramas, games, music, and social platforms, with rapid commercialization progress.
The Group continues to focus on exploring business opportunities in social, entertainment, artificial intelligence, and Web3.0 sectors, and believes that AI technology is reshaping the working methods, product formats, business architectures, and organizational boundaries in these fields, bringing significant opportunities for emerging incremental businesses. Therefore, the Board of Directors believes that leveraging Skywork AI's extensive experience in globalization and AI product commercialization, this transaction will strengthen cooperation with Skywork AI in the field of AI large model technology and is of great significance to the implementation of the Group's strategy.
