Tongguan Gold Records 2.07 Million Share Buy-back in July; Issued Shares Trimmed to 5.30 Billion

For the month ended 31 July 2026, Tongguan Gold Group Limited reported stable authorised capital but a reduction in issued shares driven by on-market repurchases.

Authorised and Registered Capital • No changes were recorded; authorised share capital remained at HKD 5.00 billion, comprising 46.22 billion ordinary shares and 3.78 billion convertible preference shares, both with a par value of HKD 0.10.

Issued Shares and Treasury Position • Issued ordinary shares (excluding treasury shares) declined by 2.07 million to 5.30 billion. • Treasury shares increased by the same amount to 11.10 million, keeping total issued shares unchanged at 5.31 billion. • Public float continued to meet the Main Board’s 25% requirement.

Share Repurchase Activity • Three repurchase transactions on 2, 17 and 20 July acquired 2.07 million shares for treasury at average prices of HKD 1.8357, HKD 1.7907 and HKD 1.8362, respectively.

Equity Incentives and Convertibles • Share Option Scheme (adopted 6 June 2024): 80.27 million options remained outstanding; no exercises were recorded during the month. • A zero-coupon convertible bond with a principal of HKD 26.40 million remained outstanding, convertible into up to 24.00 million shares at HKD 1.10 per share; no conversions occurred in July.

Compliance Confirmation • The company affirmed compliance with all listing, regulatory and public-float obligations for the reporting period.
