CaoCao Inc. (listed on the Hong Kong Stock Exchange) filed a Next Day Disclosure Return on 16 October 2026, detailing minor adjustments to its share capital following a routine share buyback and the exercise of employee stock options.

On 16 October 2026 the company repurchased 60,000 ordinary shares on the Exchange at prices ranging from HKD 11.09 to HKD 11.36 apiece, for a volume-weighted average cost of approximately HKD 11.23 per share. The aggregate cash outlay totalled HKD 0.67 million. All repurchased shares have been retained as treasury stock, lifting the treasury-share balance to 7.87 million.

The same day, 20,709 new ordinary shares were issued upon the exercise of options granted under the Pre-IPO Share Incentive Plan adopted in November 2022. The exercise price was RMB 1.692 per share.

After accounting for both transactions, CaoCao’s issued share capital (excluding treasury shares) fell to 578.77 million, a net decrease of 39,291 shares, or 0.01% of the prior day’s outstanding total. Including treasury shares, total issued shares edged up to 586.64 million.

The buyback formed part of the repurchase mandate approved on 8 June 2026, which authorises the company to repurchase up to 58.30 million shares. Cumulative repurchases under this mandate now stand at 7.21 million shares, equal to 1.24% of the company’s issued share base on the mandate date. In line with Hong Kong listing rules, CaoCao is subject to a moratorium on new share issues or treasury-share sales until 15 November 2026.
