IntelliMark AI posts stable March 2026 share capital; 819.54 million ordinary shares outstanding

IntelliMark AI International Limited filed its Monthly Return for the period ended 31 March 2026, confirming that no changes occurred in either authorised or issued share capital during the month.

The authorised pool remains at 7.00 billion ordinary shares with a par value of HKD 0.1, representing authorised ordinary share capital of HKD 700.00 million. Authorised preference share classes are unchanged at 2.31 billion shares, bringing total authorised share capital to HKD 1.05 billion.

Issued ordinary shares listed on GEM stand at 819.54 million, with no treasury holdings. The company confirmed compliance with the 25 percent public-float requirement. Unlisted preference shares in issue total 1.08 billion, while Series B preference shares remain at 135.16 million; neither class recorded movement in March.

Dilutive instruments were static. Outstanding bonus warrants can be converted into 163.91 million ordinary shares at HKD 0.60 before 30 March 2027. Existing convertible preference shares are exchangeable into 144.96 million ordinary shares at HKD 1.121, and Series B convertible preference shares could add a further 77.15 million shares at HKD 0.2803. The RSU Scheme adopted on 18 December 2024 carries a limit of 80.15 million shares, none of which were issued in March.

Aggregating all warrants, convertibles and RSU capacity, up to 466.17 million additional ordinary shares could be created, equivalent to roughly 57 percent of the current issued ordinary share base, though no such conversions or issuances occurred during the reporting month.

The company reported zero share option activity, having terminated its 2017 Share Option Scheme previously, and confirmed that all outstanding securities and corporate actions comply with Hong Kong listing regulations.
