Hong Kong, 20 August 2026 – Continental Aerospace Technologies Holding Limited (CAT) today disclosed a series of derivative transactions undertaken by J.P. Morgan Securities PLC, a Class (5) associate of the company’s offeror, in accordance with Rule 22 of the Hong Kong Code on Takeovers and Mergers. The dealings, executed between 19 August 2026 and 30 April 2029, were carried out on J.P. Morgan’s own account and centred on “other” derivative products linked to CAT shares.
Key transaction highlights
1. Fresh issuances • On 19 August 2026, J.P. Morgan Securities issued seven derivative contracts referencing a total of 17.41 million CAT shares at a uniform reference price of USD 0.4606 per share. Aggregate consideration totalled USD 8.02 million. • On 30 April 2029, an additional derivative contract referencing 0.56 million shares was issued at a reference price of USD 0.4635, for USD 0.26 million.
2. Closings of outstanding contracts • Between 16 July 2027 and 3 July 2028, the bank closed out five derivative positions covering 13.24 million reference shares at an average reference price of USD 0.4595 per share, receiving total proceeds of USD 6.09 million.
Resultant position
Following the above transactions, J.P. Morgan Securities’ aggregate position linked to CAT stood at 398.65 million shares as of 30 April 2029.
Context
The disclosure forms part of the ongoing Proposed Delisting process of Continental Aerospace Technologies from the Hong Kong Stock Exchange. As a connected associate of the offeror, J.P. Morgan Securities is required to report all dealings in CAT securities until the conclusion of the offer period, in line with the Takeovers Code.
