Senior Material Updates Articles to Capture HK Listing and RMB1.50 Billion Capital Structure

Shenzhen Senior Technology Material Co., Ltd. (Senior Material) has released a proposal to amend multiple clauses of its Articles of Association to align the company’s constitutional documents with its recent Hong Kong listing and expanded capital base.

Key Amendments and Numbers • Article 3: Records the completion of the company’s initial public offering of 149.52 million H shares on the Hong Kong Stock Exchange (HKEX) on 23 June 2026, following CSRC filing on 9 April 2026. • Article 6: Updates registered capital to RMB1.50 billion (1,495.23 million shares). • Article 21: Confirms the post-offering share structure at 1,495.23 million ordinary shares, comprising 1,345.71 million A shares (90%) and 149.52 million H shares (10%). • Article 225: Specifies that the revised Articles will take effect upon shareholder approval at the forthcoming general meeting.

Approval Process The proposed amendments will be tabled as a special resolution at the next general meeting. A detailed circular and meeting notice will be dispatched to shareholders in accordance with HKEX Listing Rules. Until shareholder approval is obtained, the current Articles remain in force.

Board Composition As of 15 July 2026, the board consists of Executive Directors Prof. Chen Xiufeng, Dr. Zhang Xiaomin and Mr. Xu Liqiang; Non-Executive Director Mr. Zhu Bide; and Independent Non-Executive Directors Mr. Tang Changjiang, Ms. Sun Zhenzhen and Mr. Leung Shu Sun Sunny.
