Beijing Enterprises Holdings Ltd. (Beijing Ent) has issued a circular convening its 2026 annual general meeting (AGM) for 28 May 2026 at 3:00 p.m. on the 66th Floor, Central Plaza, Wanchai, Hong Kong.
Key AGM Proposals 1. Director Re-elections • Six directors—Mr Yang Zhichang, Mr Xiong Bin, Mr Xu Tong, Mr Geng Chao, Mr Yu Xijian and Mr Su Junjie—will retire and offer themselves for re-election. • Mr Yang remains Chairman; Mr Xiong, Chief Executive Officer; Mr Xu and Mr Geng, Executive Directors; Mr Yu and Mr Su, Non-executive Directors.
2. Share Buy-Back Mandate • Board authority to repurchase up to 10% of the issued share capital as at the AGM date. • Based on 1.258 billion shares in issue on 24 April 2026, the mandate would cover up to 125.80 million shares. • Funding will be from distributable profits and/or proceeds of new share issues. • Full exercise would raise controlling shareholder Beijing Enterprises Group’s interest from 62.16% to 69.07%, still within public-float requirements.
3. General Issuance Mandate • Board authority to allot and issue new shares up to 10% of issued share capital (also up to 125.80 million shares on the current base). • The board states it has no immediate plan to issue shares under this mandate and pledges prudent use to minimise dilution.
Other AGM Matters • Shareholders will vote on a final dividend; record date is 8 June 2026, with the register closed 4–8 June. • Re-appointment of Deloitte Touche Tohmatsu as independent auditor is proposed. • All resolutions will be decided by poll.
Proxy and Voting Arrangements • Shareholders must lodge proxy forms with Tricor Investor Services by 26 May 2026, 3:00 p.m. • The share register closes 22–28 May 2026 for AGM attendance eligibility.
Market Context • Over the past 12 months to April 2026, Beijing Ent shares traded between HK$29.80 and HK$36.88. • No share repurchases have been made in the six months preceding 24 April 2026.
The board recommends shareholders vote in favour of all resolutions, citing alignment with corporate and shareholder interests.
