Sunac China Holdings Limited (SUNAC) has called an Extraordinary General Meeting (EGM) for 10:00 a.m. on 11 November 2026 at Conference Room 1, 26/F, Block B, Rongke Wangjing Center, Chaoyang District, Beijing. Shareholders will be asked to approve an all-share acquisition and the related share issuance mandate.
Key Proposal • Transaction Structure: Sunac Property Management Limited, an indirect wholly owned subsidiary, agreed on 24 August 2026—and supplemented on 20 October 2026—to acquire 100 % of Sun Success Investment Limited from Sunus Holdings Limited. • Consideration: Payment will be settled entirely in equity through the issue of 260.26 million new SUNAC shares at HK$0.547 each, valuing the deal at approximately HK$142.36 million. • Specific Mandate: Directors seek authority to allot and issue the consideration shares under a dedicated mandate upon fulfilment or waiver of all conditions precedent in the Sale and Purchase Agreement. • Ancillary Authority: Directors will also be empowered to execute all documents and take actions necessary to complete the acquisition and share issuance.
Meeting Logistics • Record Date: Close of business on 11 November 2026 (Hong Kong time). • Share Transfer Cut-off: Transfers must be lodged with Computershare Hong Kong Investor Services by 4:30 p.m. on 10 November 2026. • Proxy Deadline: Forms of proxy must be deposited at Computershare Hong Kong Investor Services not less than 48 hours before the EGM.
Board Composition (as of 26 October 2026) Executive Directors: Sun Hongbin (Chairman), Wang Mengde, Huang Shuping, Ma Zhixia, Sun Kevin Zheyi. Independent Non-Executive Directors: Poon Chiu Kwok, Zhu Jia, Ma Lishan, Yuan Zhigang.
Completion of the proposed resolutions will allow SUNAC to finalize the purchase of Sun Success Investment Limited and issue the consideration shares to Sunus Holdings Limited as agreed.
