Scholar Edu Posts Stable Capital Structure for May 2026; Issued Shares Hold at 673.78 Million

Scholar Education Group (Scholar Edu) filed its Monthly Return for Equity Issuer, confirming that no changes occurred in its authorised or issued share capital during May 2026.

Authorised share capital remained at 1.00 billion ordinary shares with a par value of USD 0.001, representing USD 1.00 million in authorised capital.

Issued shares (excluding treasury shares) closed the month unchanged at 673.78 million. The company reported zero treasury shares, leaving total issued shares likewise steady at 673.78 million.

Public float compliance was reconfirmed. Management stated the free-float level satisfies the Main Board’s minimum 25 % requirement as of 31 May 2026.

Share-option liabilities were unchanged. Outstanding options under the 3 June 2019 scheme totalled 18.62 million, while the 27 February 2024 scheme had 30.56 million outstanding—bringing the combined options overhang to 49.18 million shares. No shares were issued and no funds were raised through option exercises in the month.

No activity was recorded for warrants, convertible instruments, or other share-issuance arrangements. The filing also shows that the 1.00 million shares previously repurchased on 20 May 2025 remain pending cancellation, with no additional repurchases performed in May 2026.

The disclosure, signed by Company Secretary So Wai Hang on 2 June 2026, indicates a stable equity base and ongoing adherence to Hong Kong Stock Exchange listing rules.
