HSBC Holdings Announces Up to $1 Billion Share Buyback Program

HSBC Holdings (00005) has announced a plan to repurchase up to $1 billion worth of its ordinary shares. The buyback initiative is designed to reduce the company's total number of issued ordinary shares.

As previously referenced in the company's announcement from August 4, 2026, the share repurchase will target ordinary shares with a par value of $0.50 each. During the current period, fair value losses on financial assets measured at fair value through profit or loss amounted to approximately HK$400,000. This figure includes roughly HK$600,000 in unrealized losses and about HK$200,000 in realized gains. The unrealized losses are non-cash in nature and are not expected to have a material impact on the group's cash flow.

To facilitate this buyback, HSBC Holdings has entered into several non-discretionary share repurchase agreements with BNP Paribas Financial Markets SNC (BNP Paribas). Under these agreements, BNP Paribas, acting as principal, is authorized to purchase up to $1 billion worth of ordinary shares on the open market. The purchase period runs from August 6, 2026, to no later than October 23, 2026, subject to the continued validity of regulatory approvals. Following the purchases, BNP Paribas will sell the acquired shares back to HSBC Holdings.
