YSB Inc. sets 21 May 2026 AGM; proposes RMB0.11 final dividend and renewal of 10% buy-back, 20% issuance mandates

YSB Inc. (09885, “the Company”) has issued a notice convening its 2026 Annual General Meeting (AGM) for 10:00 a.m., Thursday, 21 May 2026, at the Company’s Guangzhou headquarters (Conference Room, No. 8 Brand Street, No. 397 Xingang Middle Road, Haizhu District). Key matters to be put to shareholder vote are outlined below.

Dividend proposal • Board recommendation: a final cash dividend of RMB0.110 per share for the financial year ended 31 December 2025. • Record date: 2 June 2026. • Books closure for dividend entitlement: 28 May–2 June 2026 (both days inclusive).

Board and auditor matters • Re-election of Executive Director Mr Buzhen Zhang and Independent Non-Executive Director Ms Rong Shao. • Authorisation for the Board to determine Directors’ remuneration. • Re-appointment of Deloitte Touche Tohmatsu as external auditor until the next AGM, with the Board authorised to fix its fee.

Capital management mandates • Share repurchase mandate: authorisation for the Board to repurchase up to 10% of the Company’s issued shares (excluding treasury shares) during the mandate period. • Share issuance mandate: authority to allot, issue or transfer (including from treasury) additional shares up to 20% of issued share capital (excluding treasury shares). • Mandate extension: potential increase in the issuance limit by the number of shares repurchased under the buy-back mandate, capped at an additional 10% of issued share capital.

Shareholder participation logistics • Register of Members closure for AGM attendance and voting: 18 May–21 May 2026; shareholders must lodge transfer documents by 4:30 p.m. on 15 May 2026 to qualify. • Proxy submission deadline: 10:00 a.m., 19 May 2026 (48 hours before the AGM). • All resolutions will be decided by poll in accordance with Hong Kong Listing Rules.

Board composition As of 23 April 2026, the Board comprises Executive Directors Mr Buzhen Zhang (Chairman) and Mr Fei Chen; Non-Executive Director Mr Ziyang Zhu; and Independent Non-Executive Directors Ms Rong Shao, Mr Sam Hanhui Sun and Mr Hongqiang Zhao.
