Capital Realm Announces Further Delay in FY2026 Audit, Annual Report and Board Meeting; Trading Remains Suspended

Capital Realm Financial Holdings Group Limited has issued a supplemental announcement outlining four key developments:

1. Further delay in audited FY2026 results The Company will not meet its previously stated timetable for releasing audited results for the financial year ended 31 March 2026. Additional time is required to provide the auditor with professional valuation reports covering unlisted equity securities, promissory notes and investment deposits held as at 31 March 2026. Management now targets publication of the audited annual results by the end of August 2026.

2. Non-compliance with Listing Rule 13.46(1) Because the audited results are delayed, dispatch of the FY2026 annual report—originally due within four months of the fiscal year-end—will also be delayed. This constitutes non-compliance with Rule 13.46(1) of the Hong Kong Listing Rules. A new dispatch date will be announced in due course.

3. Further postponement of the Board meeting The Board meeting scheduled to approve the audited results will be postponed again. The Company will announce the rescheduled meeting date and the revised timetable for releasing the annual results and annual report when available.

4. Continued suspension of trading Trading in Capital Realm shares has been suspended since 9:00 a.m. on 2 July 2026 and will remain suspended until further notice. Shareholders and potential investors are advised to exercise caution when dealing in the Company’s securities.

Capital Realm’s Board currently comprises two executive directors, four non-executive directors (including joint chairmen Deng Dongping and Zhang Zixing) and three independent non-executive directors.
