Jakota Capital to Convene 28 Aug 2026 AGM; Board Seeks 20% Issuance, 10% Buy-Back Mandates

Jakota Capital (Holding) Group (stock code: 01468) has issued a notice convening its 2026 Annual General Meeting (AGM) for 28 August 2026 at 11:00 a.m. on the 22/F, Euro Trade Centre, 13–14 Connaught Road Central, Hong Kong. Key items on the agenda are as follows:

1. Financial Statements and Reports • Shareholders will vote on adopting the audited consolidated financial statements and the reports of the directors and independent auditors for the year ended 31 March 2026.

2. Board Composition and Remuneration • Independent Non-executive Directors (INEDs) Ms. Mak Yun Chu and Mr. Hung Wai Che, each having served for more than nine years, stand for re-election under separate resolutions. • The board also seeks authority to determine directors’ remuneration.

3. Auditor Re-appointment • McMillan Woods (Hong Kong) CPA Limited is nominated for re-appointment as external auditor, with the board authorised to set its remuneration.

4. Share Issue Mandate (Ordinary Resolution) • Directors request a general mandate to allot, issue or deal in new shares—excluding treasury shares—up to 20% of the issued share capital as at the date of the resolution. • The mandate extends to issuing shares via rights issues, option exercises, warrant or convertible bond conversions, and scrip dividends. • The mandate will remain effective until the earlier of (i) the next AGM, (ii) the statutory deadline for holding the next AGM, or (iii) its revocation by shareholders. • The board states it currently has no immediate plans to issue shares under this authority.

5. Share Buy-Back Mandate (Ordinary Resolution) • A parallel mandate would permit repurchases of up to 10% of the issued share capital (excluding treasury shares) during the same “Relevant Period.”

6. Extension Mandate • Shares repurchased under the buy-back mandate may be added to the shares available for issuance under the 20% general mandate.

7. Key Administrative Dates • Register of Members closure: 25–28 August 2026 (both days inclusive). • Last date for share transfers to qualify for AGM attendance and voting: 24 August 2026 (4:30 p.m.). • Record date for AGM eligibility: 28 August 2026. • Proxy forms must be lodged with Tricor Investor Services Limited no later than 48 hours before the AGM.

Contingency arrangements for severe weather have also been outlined, including provisions for postponement should a black rainstorm warning, typhoon signal 8 or above, or officially declared “extreme conditions” be in force on the meeting day.
