Drinda Sets 27 May 2026 AGM; Agenda Covers 2025 Results, Profit Distribution, Remuneration and New Share Mandate

Hainan Drinda New Energy Technology Co., Ltd. (Drinda) has released a notice convening its 2025 Annual General Meeting (AGM) for 2:30 p.m. on Wednesday, 27 May 2026 at 15/F, GCL Plaza, Suzhou Industrial Park, Jiangsu, PRC.

The Board will ask shareholders to vote on nine ordinary resolutions: 1. Approval of the Board of Directors’ 2025 report. 2. Approval of the 2025 annual report, summary and results announcement. 3. Approval of the 2025 profit-distribution proposal. 4. Endorsement of the shareholder-return plan for 2026-2028. 5. Purchase of liability insurance for directors and senior management. 6. Confirmation that unrecovered losses have reached one-third of paid-in share capital. 7. Appointment of the external auditors for 2026. 8. Adoption of a remuneration-management system for directors and senior management. 9. Approval of the 2026 remuneration plan for directors and senior management.

One special resolution will also be tabled: granting the Board a general mandate to issue shares.

Share-registration details • The H-share register will be closed from 22 May 2026 to 27 May 2026 (both dates inclusive). • Holders whose names appear on the register on 27 May 2026 are entitled to attend and vote. Transfer documents must reach Computershare Hong Kong Investor Services Limited by 4:30 p.m. on 21 May 2026. • Shareholders may appoint one or more proxies; completed proxy forms must be lodged at Computershare not less than 24 hours before the meeting.

The AGM will also receive the 2025 report from independent non-executive directors. The notice was signed by Mr. Lu Xuyang, Chairperson of the Board, on 30 April 2026.
