Ten Pao Group Holdings Limited reported that every one of the 10 ordinary resolutions tabled at the 12 June 2026 annual general meeting (AGM) was approved by poll. The meeting covered dividend distribution, board mandates and significant changes to independent non-executive directorships (INEDs) and committee leadership.
Shareholder voting support remained emphatic: • The 2025 audited financial statements were adopted with 99.93 % of votes in favour. • A final dividend of HK$0.066 per share for FY 2025 secured 100 % approval. • Executive Director Hung Kwong Yee was re-elected with 99.80 % backing. • PricewaterhouseCoopers was re-appointed auditor with 98.71 % support. • Mandates authorising share repurchases up to 10 % and new share issues up to 20 % of issued capital were endorsed by 99.98 % and 98.29 %, respectively; the extension mandate received 89.95 % support.
Board composition was overhauled to align with Hong Kong Listing Rule requirements on INED tenure: • Mr Chu Yat Pang Terry and Mr Lee Kwan Hung Eddie retired as INEDs. Their departures also vacated the Audit Committee chair, Remuneration Committee chair, and related committee memberships. • Mr Cheung Chin Hoo joined the board as an INED, becoming Audit Committee chair and a member of both the Remuneration and Nomination Committees. • Ms Ferheen Mahomed was appointed as an INED and member of the Remuneration and Nomination Committees. • Dr Lui Sun Wing, an existing INED, was elevated to chair the Remuneration Committee.
Both new INEDs have affirmed full independence under Listing Rules 3.13(1)–(8), with no disclosed financial or other ties to the company or its core connected persons.
The AGM was attended by all seven directors. Tricor Investor Services Limited acted as the scrutineer. Voting was conducted on a total of 1.03 billion shares, with no shareholdings subject to mandatory abstention or expressing intent to vote against any resolution.
All board and committee changes, together with the approved corporate actions, took effect immediately upon the conclusion of the AGM.
