Winto Group (Holdings) Limited (Stock Code: 8238) Announces New Director Appointments and Board Committee Changes

Winto Group (Holdings) Limited (the Group) has confirmed the appointments of two directors with effect from 18 November 2025. Mr. Lei Kam Chao, aged 69, joins as an Executive Director, bringing more than four decades of business experience and having served in leadership positions at various companies. He will receive an annual salary of HK$540,000, along with discretionary bonuses and other benefits. According to the Group, he is subject to retirement by rotation and re-election at its annual general meeting.

Mr. Ma King Fai, Lucas, aged 28, becomes an Independent Non-Executive Director. He holds a Bachelor of Science in International Management and has worked in executive roles, including service as executive director of Welloyd International Limited. His remuneration is set at HK$90,000 per annum, plus discretionary bonuses and additional benefits. Mr. Ma also meets all relevant independence criteria as defined under the Rules Governing the Listing of Securities on the GEM of The Stock Exchange of Hong Kong Limited (GEM Listing Rules).

In conjunction with these appointments, Mr. Ma will serve as a member of the Audit, Remuneration, Nomination, and CGRM Committees, fulfilling requirements for at least three Independent Non-Executive Directors on the Board and reinforcing compliance with the GEM Listing Rules. The Board currently comprises two Executive Directors and three Independent Non-Executive Directors.
