CICC (03908) Launches CNY2.00 Billion 1.90% Notes Due 2028 Under US$10.00 Billion MTN Programme

China International Capital Corporation Limited (CICC, 03908) announced the execution of a subscription agreement on 12 March 2026 for the issuance of CNY2.00 billion 1.90 per cent. notes due 2028 under its US$10.00 billion guaranteed medium-term note (MTN) programme, first established in 2016 and most recently updated on 21 January 2026.

The notes will be issued by CICC Hong Kong Finance 2016 MTN Limited on 19 March 2026 at 100.00% of par and will mature on the interest-payment date nearest to 19 March 2028. They carry an unconditional and irrevocable guarantee from China International Capital Corporation (International) Limited, supplemented by a keepwell deed provided by CICC. All payment obligations of both the issuer and guarantor rank pari passu with their other unsecured and unsubordinated liabilities.

Net proceeds are earmarked for the repayment of certain existing indebtedness and other general corporate purposes of the guarantor and its subsidiaries.

An application has been filed with The Stock Exchange of Hong Kong Limited for listing of the notes, restricted to Professional Investors, with trading expected to commence on 20 March 2026.

CICC HK Securities, Citigroup and Standard Chartered Bank act as Joint Global Coordinators. They are joined by 21 additional financial institutions—including Agricultural Bank of China Hong Kong Branch, Bank of China, Bank of Communications and BNP Paribas—as Joint Bookrunners and Joint Lead Managers.

Completion of the subscription agreement remains subject to customary conditions precedent, and shareholders and prospective investors are advised to exercise caution when dealing in CICC securities.
