CAPITAL REALM clarifies HK$275 million in deferred rights-issue proceeds, implements tighter fund-receipt controls

Capital Realm Financial Holdings Group Limited (CAPITAL REALM) issued a supplemental announcement on 20 August 2026 to amend its Next Day Disclosure Returns (NDDR) dated 20 July 2021 and 20 August 2025, detailing delays in the receipt of a combined HK$275.00 million in gross proceeds from two rights issues.

For the 2021 rights issue (prospectus dated 25 June 2021), the company confirms that while the shares were issued as disclosed, HK$122.00 million of the proceeds, retained by the placing agent, did not reach the company until 28 July 2021. Share certificates were delivered immediately after the funds were received.

Regarding the 2025 rights issue (prospectus dated 21 July 2025), a bank-account freeze triggered by a winding-up petition on 13 August 2025 postponed receipt of HK$153.00 million. The funds were transferred on 12 November 2025 after the petition was withdrawn on 16 October 2025 and the account was unfrozen; share certificates were dispatched upon receipt.

To prevent recurrence, CAPITAL REALM has introduced new internal controls: 1. The finance department must forward bank-in documents to the company secretary and the board. 2. The company secretary will verify full receipt of proceeds with the finance department. 3. A director must sign instructions to the share registrar only after confirmation of funds. 4. The company secretary will compile bank-in evidence, share-certificate copies and acknowledgements for board approval before NDDR submission.

The board states that all other information in the 2021 and 2025 NDDRs remains unchanged.
