ZYY Plans to Retain Jon Gepsom CPA as Auditor; FY2026 Fee Set at HK$0.89–0.99 Million

Ziyuanyuan Holdings Group Limited (ZYY) has issued a supplemental announcement to its 4 May 2026 annual general meeting (AGM) circular, outlining the proposed re-appointment of Jon Gepsom CPA Limited as external auditor.

Jon Gepsom, due to retire at the forthcoming 2026 AGM, has offered itself for re-appointment. The Board, following the recommendation of the Audit Committee, will seek shareholder approval via an ordinary resolution at the AGM to retain the firm until the conclusion of the next AGM and to authorise the Board to set the auditor’s remuneration.

The estimated fee for auditing the Group’s consolidated financial statements for the year ending 31 December 2026 is projected at HK$0.89 million–HK$0.99 million, excluding out-of-pocket expenses. The quotation reflects negotiations based on the Group’s expected business scale, audit scope and timetable, and envisages no material changes in operations, accounting policies or the regulatory environment. Management notes that Jon Gepsom’s familiarity with the Group’s financial position should enable an efficient audit process.

All other information in the original AGM circular and notice remains unchanged. Any material variation to the proposed audit fee will be disclosed if necessary.
