China Longyuan Power Group Corporation Limited issued a form of proxy for its second extraordinary shareholders’ meeting in 2025, scheduled at 9:00 a.m. on Tuesday, 23 December 2025, at the Conference Room, 3/F, Block C, 6 Fuchengmen North Street, Xicheng District, Beijing. Holders of H shares are entitled to appoint a proxy to vote on several special resolutions regarding the issuance of A shares to specific targets.

Key resolutions include confirming whether conditions for the issuance of A shares are satisfied, examining the planned type, nominal value, method, targets, pricing, number of shares, lock-up period, and the intended use of proceeds arising from the issuance. Additional items include a proposal outlining the specifics of the A share issuance in 2025, a demonstration and analysis report on the plan, a feasibility analysis report concerning the use of raised funds, and a report on how previously raised funds have been utilized. Another resolution addresses potential dilution of current returns, including remedial measures and related undertakings.

Shareholders are also set to vote on authorizing the board or its delegated person(s) to oversee the A share issuance matters. The form of proxy, along with any necessary notarized documents, must be lodged with the company’s H share registrar in Hong Kong at least 24 hours before the meeting—no later than 9:00 a.m. on Monday, 22 December 2025. The meeting is expected to last less than half a day, and attendees are responsible for their own travel and accommodation expenses.
