ZHIDA TECH-NEW Sets 24 April 2026 AGM to Vote on 2025 Results, H-Share Mandates and Supervisory Committee Abolition

Shanghai Zhida Technology Development Co., Ltd. (ZHIDA TECH-NEW) has issued the proxy form and agenda for its 2025 Annual General Meeting (AGM), scheduled for 10:00 a.m. on Friday, 24 April 2026, at the company’s headquarters (8/F, Building 2, Chuangzhi Tiandi, 477 Zhengli Road, Yangpu District, Shanghai).

Key ordinary resolutions to be tabled: 1. Adoption of the Board’s 2025 work report, the 2025 audit report and the full 2025 annual report. 2. Approval of the 2025 final accounts and the proposed profit-distribution plan. 3. Re-appointment of the Company’s auditors. 4. Approval of the Supervisory Committee’s 2025 work report and the 2026 Director remuneration plan.

Special resolutions: 1. Grant of a general mandate authorising the Board to allot, issue and deal with additional H shares and to adjust registered capital and amend the Articles of Association accordingly. 2. Authorisation of an H-Share Repurchase Mandate. 3. Proposal to abolish the Supervisory Committee, accompanied by amendments to the Articles of Association and its appendices.

Shareholder logistics: • Share register closure: 21 April – 24 April 2026 (both days inclusive). • Cut-off for H-share transfers: 4:30 p.m., 20 April 2026, via Computershare Hong Kong Investor Services Limited. • Shareholders on record as of 24 April 2026 are entitled to attend and vote. • Proxy forms must reach the Company or its H-share registrar at least 24 hours before the meeting.

All resolutions will be decided by poll in accordance with Hong Kong Stock Exchange listing rules.
