Cowell e Holdings Inc. (1415) Announces Renewal of Purchase and Materials Procurement Framework Agreements

On 4 November 2025, Cowell e Holdings Inc. (1415) released details of continuing connected transactions regarding the renewal of its existing purchase and materials procurement framework agreements. These agreements outline the company’s intention to continue purchasing certain products and materials from its connected parties for another three-year term commencing 1 January 2026. Shareholder approval will be sought at an extraordinary general meeting convened virtually on 19 November 2025.

Under the new 2026 Purchase Framework Agreement, Cowell e Holdings Inc. plans to set annual caps of RMB3,027.20 million for 2026, RMB3,330.00 million for 2027, and RMB3,663.00 million for 2028. The group will buy specified products according to the technical requirements and production schedules of its customers.

Meanwhile, the 2026 Materials Procurement Framework Agreement proposes annual caps of RMB95 million for 2026, RMB100 million for 2027, and RMB110 million for 2028. These materials, including circuit board assemblies, will be used by the group for its production activities related to sensors and modules.

The board states that transaction prices under both agreements are determined after arm’s length negotiations, with references made to prevailing market rates and comparable quotations where available. Both agreements require approval from independent shareholders, and a circular containing the relevant details has been dispatched. Should the proposals be endorsed, Cowell e Holdings Inc. will continue to procure these products and materials under renewed contractual terms from 1 January 2026 to 31 December 2028.
