United Company RUSAL (486) Signs Addendum to Heat Supply Deal with En+ Associate

United Company RUSAL, international public joint-stock company (HKSE Stock Code: 486), disclosed that a Group entity entered into an addendum dated 1 December 2025 to a previously announced heat supply contract with an associate of En+. The addendum covers the purchase of thermal energy (hot water) by Limited Liability Company Taishet-Energy from Joint Stock Company Baikalenergo through year-end 2026.

Under this addendum, approximately 2,041.14 Gcal of heat and 71.0767 m³ of coolant are expected to be supplied in 2026, with an estimated consideration of US$48,460. The contract price is based on the thermal energy rate established by the Tariff Service of the Irkutsk Region, with payments due in installments tied to monthly billing periods.

Including previously disclosed heat supply contracts, the annual aggregate transaction amount for these continuing connected transactions is estimated at around US$3.545 million for the year ending 31 December 2026. Securing thermal energy is part of the production process for the Group’s facilities, and Joint Stock Company Baikalenergo is identified as the only available supplier in the Irkutsk region.

The Board considers the terms of this addendum to be consistent with normal commercial arrangements and in the ordinary and usual course of business. No Director held a material interest in the transaction, except for a Director who also serves as the Director of Finance of En+, and accordingly abstained from voting.
