Zhihu buys back 101,289 Class A shares in New York, lifting 2026 repurchases to 3.20 million shares

Zhihu Inc. (abbreviation: Zhihu) disclosed a Next Day Disclosure Return dated 11 August 2026, detailing the continuation of its 2026 share-repurchase programme.

Zhihu acquired 101,289 Class A weighted-voting-rights (WVR) ordinary shares on 10 August 2026 via the New York Stock Exchange. The purchase was executed within a price range of USD 1.09–1.10 per share, for an aggregate consideration of USD 0.11 million. The transaction involved 33,763 American depositary shares (ADSs), with each ADS representing three Class A ordinary shares. All repurchased shares are earmarked for cancellation.

Including this latest trade, Zhihu has bought back a total of 3.20 million Class A shares under the general mandate approved on 30 June 2026. The cumulative volume represents 1.26 % of the company’s issued share capital on the mandate date and utilizes roughly 12.56 % of the 25.46 million-share limit.

Despite the ongoing buybacks, Zhihu’s issued share count remains unchanged at 244.79 million Class A shares and 14.86 million Class B shares, or 259.65 million shares in total, as of 10 August 2026. Repurchased shares have not yet been cancelled and therefore are not reflected in the issued share total.

Under Hong Kong Stock Exchange rules, Zhihu is subject to a 30-day moratorium on new share issues or sales/transfers of treasury shares following the 10 August repurchase, ending on 9 September 2026.
