Country Garden issues 1.58 million new shares after conversion of mandatory convertible bonds

Country Garden Holdings Company Limited disclosed a minor increase in its share capital following the conversion of its zero-coupon mandatory convertible bonds (MCB (A)). On 24 June 2026, bondholders converted instruments into 1.58 million ordinary shares at HKD 2.60 per share, lifting the company’s issued share count by 0.0034%.

The transaction raised the total number of issued shares (excluding treasury shares) from 46.33 billion on 22 June 2026 to 46.33 billion on 24 June 2026. No treasury shares were outstanding before or after the conversion, and no share repurchases or redemptions were reported.

Country Garden confirmed that the conversion complied with all relevant Hong Kong Listing Rules and regulatory requirements, and that consideration for the newly issued shares had been duly received.
