JIUYUAN GENE (02566) announced that Ms. Ma Honglan has submitted her resignation as a non-executive director due to reaching retirement age. Ms. Ma will cease to serve as a director of the company upon the election of a new non-executive director at the upcoming extraordinary general meeting.

The board has proposed the appointment of Ms. Yan Weiting as a non-executive director. Her appointment will take effect upon approval by shareholders at the extraordinary general meeting and will last until the end of the first board term.

Additionally, on December 2, 2025, the board reviewed and approved a proposal to implement an H-share full circulation plan. This involves converting 136 million unlisted shares held by 12 shareholders into H-shares (representing approximately 55.54% of the company's total issued shares as of the announcement date).

Upon obtaining all necessary approvals, including filing with the China Securities Regulatory Commission, and complying with applicable laws and regulations, these unlisted shares will be converted into H-shares. The company will also apply to the Hong Kong Stock Exchange for listing and trading permission of these H-shares.

The conversion and listing are subject to approval by shareholders via an ordinary resolution at the extraordinary general meeting.
