JIADING INTL GP (08153): Rights Issue Receives Approximately 39.52% Valid Acceptance

JIADING INTL GP (08153) announced that as of 4:00 p.m. on Monday, December 1, 2025 (the final acceptance deadline), it received valid applications and acceptances under a total of 4 provisional allotment letters, covering 4.5663 million rights shares, representing approximately 39.52% of the total rights shares offered. There were no excluded shareholders as of the record date.

Based on the results of the valid applications and acceptances under the provisional allotment letters, the total unsubscribed rights shares subject to the compensatory arrangement amount to 6.9888 million rights shares, with no ineligible shares held by non-qualifying shareholders.

As previously disclosed, the company has made compensatory arrangements in accordance with GEM Listing Rule 10.31(1)(b) by entering into a placing agreement with a placing agent. Under this agreement, the company conditionally appointed the placing agent, who conditionally agreed to act as the company’s agent to procure subscribers for the unsubscribed rights shares on a best-efforts basis under the terms of the placing agreement.

The placing of unsubscribed rights shares by the placing agent is expected to commence on Friday, December 5, 2025, and conclude no later than 6:00 p.m. on Friday, December 12, 2025. The company will not issue any unplaced unsubscribed rights shares under the compensatory arrangement, and the scale of the rights issue will be reduced accordingly.
